1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Buyer," "you," or "your") and Ultimate Diamond ("Ultimate Diamond," "we," "us," or "our"), a corporation organized under the laws of the State of New York, located at 19 W 47th Street, New York, NY 10036.

By accessing this website (ultimate.watch) or completing a purchase, you agree to be bound by these Terms in their entirety. If you do not agree to any part of these Terms, do not use this website or purchase from us.

2. Products

All watches sold through this website are pre-owned unless explicitly stated otherwise. Ultimate Diamond is an independent dealer and is not an authorized retailer, representative, or affiliate of any watch brand, including but not limited to Rolex, Patek Philippe, Audemars Piguet, Cartier, Omega, or any other manufacturer. Brand names, logos, and trademarks referenced on this website are the property of their respective owners and are used solely for identification purposes.

Product descriptions, specifications, and photographs are provided for informational purposes and represent our best effort at accuracy. Minor variations between photographs and the actual product may exist due to lighting, screen calibration, or the inherent limitations of photography. Such variations are not grounds for a return or dispute.

3. Pricing and Payment

All prices are listed in United States Dollars (USD) and are subject to change without notice until payment is confirmed. A listing price does not constitute a binding offer until accepted and confirmed by Ultimate Diamond.

• We accept payment by bank wire transfer, cash (in person), and major credit cards. Pricing may vary by payment method.
• Payment must be received in full and cleared before any merchandise is shipped or released.
• For wire transfers, the watch will be shipped upon confirmation of cleared funds by our bank.
• Credit card transactions may be subject to additional verification. We reserve the right to decline any transaction at our sole discretion.
• Applicable sales tax will be collected as required by law.

4. All Sales Final

All purchases are final and non-refundable. We do not accept returns or exchanges except under our Authenticity Guarantee as described in our Return & Refund Policy. By completing a purchase, you acknowledge and agree to this policy.

5. Authenticity Guarantee

Every watch sold by Ultimate Diamond is guaranteed to be 100% authentic. All watches are inspected and authenticated by our in-house watchmakers before sale. If a watch is determined to be inauthentic by an independent, certified horological authority, Ultimate Diamond will issue a full refund of the purchase price, subject to the conditions outlined in our Return & Refund Policy. This guarantee has no expiration.

6. Warranty

All watches include a 1-year mechanical warranty covering defects in the internal movement. This warranty does not cover:

• Cosmetic damage, scratches, or wear
• Water damage resulting from misuse or failure to observe the watch's rated water resistance
• Damage caused by impact, accident, or negligence
• Damage or alteration caused by service performed by anyone other than Ultimate Diamond or an authorized service center
• Normal wear and tear, including battery replacement for quartz movements
• Straps, bracelets, clasps, crystals, or crowns unless directly caused by a movement defect

Warranty claims are handled as a repair service at our sole discretion. We may repair, replace the movement, or provide a functionally equivalent remedy. The warranty does not entitle the buyer to a refund or exchange.

7. Shipping and Delivery

• All shipments are fully insured and require a signature upon delivery.
• Risk of loss transfers to the buyer upon delivery to the shipping carrier.
• Ultimate Diamond is not responsible for delays, losses, or damage caused by the shipping carrier after the package has been tendered to the carrier. Insurance claims for lost or damaged shipments will be filed by Ultimate Diamond, but the outcome of such claims is determined by the carrier/insurer.
• Delivery timeframes are estimates only and are not guaranteed.
• It is the buyer's responsibility to provide an accurate shipping address. Re-shipment costs for incorrect addresses are the buyer's responsibility.

8. Selling Your Watch to Us

• Quotes provided for watch purchases are preliminary estimates valid for 7 calendar days from the date of the offer.
• Final purchase price is determined upon physical inspection of the watch at our premises and may differ from the preliminary quote.
• You represent and warrant that you are the lawful owner of any watch you offer to sell and that it is free of liens, encumbrances, and any claims by third parties.
• Payment for purchased watches is made by wire transfer or check upon completion of inspection and acceptance.
• If a watch submitted for sale is determined to be counterfeit, stolen, or misrepresented, Ultimate Diamond reserves the right to decline the transaction, retain the watch for investigation, and cooperate with law enforcement as required.

9. Sourcing Service

Ultimate Diamond offers a sourcing service for watches in our Archive that are not currently in stock. Sourcing requests are non-binding inquiries until a specific watch is identified and a price is agreed upon. Once a sourced watch is accepted and paid for by the buyer, the sale is final and subject to all terms herein, including the All Sales Final policy.

10. Intellectual Property

All content on this website, including text, images, design, layout, graphics, and code, is the property of Ultimate Diamond and is protected by copyright and intellectual property laws. No content may be reproduced, distributed, or used without prior written consent.

11. Limitation of Liability

To the fullest extent permitted by law, Ultimate Diamond shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to:

• The use of or inability to use this website
• Any purchase or transaction conducted through this website
• Any content, products, or services obtained through this website
• Unauthorized access to your personal data

In no event shall Ultimate Diamond's total liability to you for any and all claims exceed the purchase price of the specific item giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ultimate Diamond, its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of this website, your breach of these Terms, or your violation of any applicable law.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms or any purchase shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York. You hereby consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Modifications

Ultimate Diamond reserves the right to modify these Terms at any time without notice. Changes are effective immediately upon posting to this website. Your continued use of this website constitutes acceptance of any modifications.

16. SMS / MMS Messaging Program

Program name: Ultimate Diamond. The Program covers messages from Ultimate Diamond and from its Ultimate Watch brand. Participation is optional and free of charge from us; your carrier's standard message and data rates may apply.

Program description. If you opt in, we may send you SMS and MMS messages about appointment confirmations and reminders, order and service updates, replies to your inquiries, and, if you opted in to them, occasional offers, new arrivals, and event invitations.

How to opt in. Check the unchecked SMS consent box on an appointment, quote, or contact form on ultimatediamond.com, ultimate.watch, or ultimatewatch.co; text a keyword such as START to our number; or sign a form in store that includes the SMS consent clause. Consent to receive texts is not a condition of any purchase or service.

Message frequency. Message frequency varies. Typically a few messages per month, with more around an active appointment, order, or repair.

Message and data rates. Message and data rates may apply. Check with your mobile carrier for details.

Opt out. Reply STOP to any message at any time to unsubscribe. You will receive one final confirmation text and no further Program messages. To rejoin, text START to the same number or opt in again on one of our forms.

Help. Reply HELP to any message, call 646.366.8018, or email concierge@ultimatediamond.com.

Carriers. Carriers are not liable for delayed or undelivered messages. The Program is available on major United States carriers.

Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information may be shared with service providers that support services such as customer care or message delivery. SMS opt-in data and consent will not be shared with third parties for unrelated purposes. See our Privacy Policy.

Compliance. The Program is operated in accordance with applicable United States messaging laws and wireless carrier requirements, including the Telephone Consumer Protection Act and the CTIA Messaging Principles and Best Practices.
